Although the overall concept of lease option investing is simple. there are many different ways to implement lease options. A lease option is the privilege to lease AND/OR buy a home during or before a lease ends. Essentially, a person rents the property from you with an option to buy the property sometime in the future. Instead of renting out an investment, you lease option it to a tenant. Lease – The privilege to lease a home + Option – The “option” to buy a home = Lease Option! The parts of a lease option: !. There’s an option consideration that’s paid upfront (which can be credited toward the down payment) 2. Specified time period and price from which the tenant can buy 3. Month lease amount that the tenant must pay 3. (Optional) There can be monthly credit each month that goes toward the down payment Different Types of Lease Options: Regular Lease Option: Essentially, you don’t want to manage a property anymore and lease option it to a tenant. Fix and Flip Scenario: You lease option a property FROM an investor, fix it up, and buy it for the lease optioned price. Sandwich Lease Option – This is when you lease the option the property from an owner and lease option it back out to the tenant. The tenant builds his/her credit gets a loan and uses the down payments from the “credits” each month to obtain a loan! Extend the contract: If you still see hope that the tenant could end up purchasing the house, extend the contract. Most investors want some type of compensation for this, another option consideration and/or an increase in price. For some people who are not familiar with this, the concept can be hard to grasp. That’s why I made this video to explain things in simple terms: https://youtu.be/HgDLgwbXgj0 Here’s an illustration. Imagine that Mark owns a lawn maintenance company; Mark’s Lawns Inc. Mark’s Lawns Inc. owns a tractor. If you wanted to get into the lawn maintenance business you could buy Mark’s Lawns Inc. The ownership of the tractor doesn’t change. It was and still is owned by Mark’s Lawns Inc. In this case, the seller is Mark. He’s selling the shares of the corporation to you. The other way to buy the business would be to buy the tractor. In this case, Mark’s Lawns Inc. is the seller. The ownership of Mark’s Lawns Inc. doesn’t change. Mark will still own this corporation after the transaction, the only difference is that the company will have money in it instead of a tractor. Because corporations are people under the law, a share sale makes a new owner subject to liabilities to past events. An attorney will do their best to structure warranties to try to protect a buyer but at the end of the day, a share sale could expose a buyer to unwanted liabilities. Asset sales are technically just the purchase of ‘stuff.’ In this regard a buyer doesn’t necessarily have to worry about most of the past issues with the corporation. Also there are usually tax advantages for buyers who buy assets because equipment that may have been fully depreciated by a seller may now appear on the buyer’s books at fair market value and can be depreciated again by the buyer. Seller’s know this and there is an equal tax disadvantage vis-à-vis depreciated equipment. Also, in some places, such as Canada, there is preferred tax treatment on the sale of shares of an eligible corporation. So when people ask me if they should buy or sell shares or assets I tell them this: Buyers should try to buy assets, sellers should try to sell shares but at the end of the day it doesn’t matter. The type of transaction will form part of the negotiation. Let me give you a simple example. A seller wants $250,000 for their business. A buyer offers $200,000. The seller says that they can’t go that low unless the buyer is willing to purchase shares… a deal is struck. The tax advantages/disadvantages of either form of sale are known by both parties and can sometimes be estimated by both parties. As such, it just comes down to dollars and cents in most cases.. unless there are specific reasons to buy shares such as contracts, government regulation, etc… but that is a subject for another day. Building a cash buyers list is helpful to sell your deals. Having active cash buyers on your list can also help you sell other real estate wholesalers deals as well. I began wholesaling real estate out of curiosity. I happened to stumble upon someone online talking about the concept of wholesaling and I found it to be very interesting. The fact that you could make so much money just by assigning a contract from a motivated seller to an end cash buyer made me take action. I drove for dollars looking for vacant houses that had motivated sellers as owners in hopes to one day wholesale the real estate to a cash buyer. I did not even have a cash buyers list at the time. I found a few vacant houses and wrote yellow letters to the sellers hoping they were motivated to sell their real estate to me at a discount. Eventually a motivated seller contacted me and we agreed on a price. I mailed the contract to the seller and he mailed it back signed. Now, in order for me to successfully wholesale this piece of real estate I had to find a cash buyer investor in my city to buy it. I advertised the property for sale on craigslist in the real estate for sale by owner section. Within a few days a cash buyer called me and wanted to look at the house. She went to the house and told me she wanted to buy it. We agreed on a price and settled after the title search came back. Transcription: "We get asked, 'What's an asset purchase agreement?' The simple answer is that the buyer, an acquirer of a company, has a number of ways that they can actually acquire the business. One method would be to by all the stock from the shareholders. Another method would be to merge company that's selling with their company and another way is to just buy the assets. These are done on smaller deals, occasionally. The reason that the buyer would like to do an asset purchases that it's easier and simpler. It's quicker, it's less expensive for them and it's less risky. They know they're just acquiring the assets they're not picking up the liabilities of the business so the due diligence processes simpler and the documentation is shorter. For the seller of a company, most sellers typically want to sell their shares or merge with somebody else. They don't want to be left with the company that has cash in it and then they have to shut it down, so most sellers would rather not deal with an asset purchase agreement. The other issue for sellers is, typically, there's double taxation so, again, it's not favorable to sellers to do an asset purchase agreement. But in some situations it makes sense for both parties; it's quicker, it's easier and certainly buyers like to just do asset purchase deals."

For many people, rent-to-own sounds like a simple and practical agreement—live in the house as a tenant, pay rent each month, and have the rent count toward the purchase of the property. Unfortunately, these transactions are anything but simple. The paperwork is often drawn up incorrectly, is incomplete, or is simply contradictory to what the buyer and seller verbally agreed upon. A traditional home purchase involves at least one realtor, a title insurance company, a mortgage company, and a settlement company; it is a professionalized industry that takes ordinary purchasers by the hand and leads them through the complicated process. Rent-to-own transactions present a seemingly viable option for people who have been shut out of this traditional lending market—those with low-income or poor credit, or who simply can’t save up the necessary funds to go to closing. These people are left to desperately circumvent the system, and they come across unscrupulous sellers, often career landlords who operate their own business and prepare their own documents. The power imbalance is palpable. Real Estate wholesaling is a simple process to understand. Wholesaling is something you can start right now, no realtors license needed!! Al you need are 2 documents....a Purchase and Sale Agreement for the seller and an Assignment contract for your buyers. When you come to terms on a good price with a seller, you will both fill out the Purchase and sale agreement. A purchase and sale agreement is paperwork basically saying that you have stake in the house and the seller can not offer or sell the property to anyone else. Usually a earnest money deposit of $5-$100 is given to the seller for good faith. Next, find a buyer who wants that property. You will both fill out an assignment contract, The assignment contract is paperwork meaning that you are selling your right to purchase the property to the buyer. Make sure you advertise a higher price to buyers than what you and the seller agreed upon. Once you have all the paper work, go to a title company so they can put everything in order to close the deal. The seller gets their money, the buyer gets their property and you get the difference between what the seller and you agreed on and what you and the buyer agreed on. Ex: Seller and you agree to $100,000 for the property. You have the house under contract Advertise the house/find a buyer and advertise for how much you want ($110,000). A land contract isn't necessarily the right document to use in every state (because some states have laws and statues that make it a difficult type of document to work with in the foreclosure process), but in many areas, it's a perfect fit for a seller financed real estate transaction. In the states where it is used, there are some variations on the specifics of what this document says, but they all accomplish the same general purpose. How Does It Work? With a Land Contract, the seller holds the legal title to the property for the entire term of the loan (i.e. - the deed won’t transfer to the new buyer until after the loan is paid in full), while allowing the buyer to take possession and use the property immediately after signing the land contract. A land contract is typically more favorable for the seller because of the way title is held during the term of the loan, but fundamentally speaking, it’s not a huge variation from what usually happens in a typical lending/borrowing relationship. If you’re financing your first deal, I’d recommend that you take a few minutes to read through this document very carefully. Every state has differences in how this form is written, so it is very important that you understand exactly what you and your buyer are agreeing to. As you read through this document, you’ll see that most of the information isn't surprising – but it will help you understand the responsibilities of both parties for the life of the loan.
